By accessing or using CareAdvanta (“the Service”), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service. These terms apply to all visitors, users, and organizations that access or use the Service.

2. Description of Service

CareAdvanta provides a software-as-a-service platform for healthcare organizations to manage onboarding workflows, collect intake forms, track document submissions, and facilitate electronic document signing. The Service is intended for use by healthcare organizations and their authorized staff.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at privacy@careadvanta.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, reverse-engineer, or copy the Service without written permission
• Use the Service to harass, harm, or discriminate against any individual
• Circumvent or interfere with security features or access controls

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any data you upload complies with applicable data protection laws and that you have the right to share such data with us.

6. Electronic Signatures

CareAdvanta's electronic signature feature captures a typed name, timestamp, IP address, and consent record as evidence of a signer's intent. By using this feature, signers agree that their electronic signature carries the same legal effect as a handwritten signature, consistent with applicable e-signature laws (including the U.S. ESIGN Act and UETA). Organizations are responsible for determining whether electronic signatures meet their legal requirements for specific document types.

7. AI-Generated Content

CareAdvanta may offer AI-assisted review summaries. These are generated automatically and are not reviewed by CareAdvanta staff before delivery. AI summaries require human review and do not constitute medical, legal, clinical, or compliance advice. Your organization remains solely responsible for decisions made based on AI-generated content.

8. Fees and Billing

Certain features of the Service are available on a subscription basis. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

9. Intellectual Property

The Service, including its software, design, and content, is owned by CareAdvanta and protected by intellectual property laws. You retain ownership of data you upload. You grant us a limited license to store and process your data solely to provide the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREADVANTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your subscription at any time. Upon termination, your data will be retained for 30 days for export before deletion.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes with at least 14 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance of the updated Terms.
